About the Role:
As Assistant Manager – Legal (Corporate Counsel) at MakeMyTrip, you will partner with
senior leadership to provide strategic legal counsel across corporate governance,
contract negotiation, compliance, and advisory services. You’ll work closely with
business, finance, and product teams to mitigate risk and ensure that our rapidly evolving
business operates within applicable legal frameworks.

Key Responsibilities:
→ Corporate Governance & Secretarial Services:
o Independently manage compliance under the Companies Act, FEMA,
FDI/ODI regulations, and other statutes.
o Coordinate board and general meetings, maintain statutory registers, and
oversee secretarial audits.
→ Contract Drafting & Negotiation:
o Draft, review, and negotiate MSAs, DPAs, NDAs, vendor/supplier
agreements, SaaS contracts, and other commercial arrangements.
o Ensure all contracts align with company policies and risk-management
standards.
→ Regulatory Compliance & Advisory:
o Monitor legislative changes (data privacy, consumer protection, fintech
regulations) and implement compliance frameworks.
o Advise on M\&A processes, ESOP governance, and filings for a Nasdaq
listed entity.
→ Risk Management & Representation:
o Conduct risk assessments, maintain an IT risk register, and guide cross
functional teams on mitigating legal risks.
o Represent the company before regulators, statutory authorities, and in
contractual disputes.

Requirements:
→ Company Secretary (CS) qualification with 8–10 years’ experience in corporate
legal roles (in-house or law firm)
→ LL.B. with 10+ years’ experience and CS certification preferred.
→ Proven track record handling corporate governance, compliance, and complex
commercial contracts.
→ Excellent negotiation, drafting, and stakeholder-management skills.
→ Strong interpersonal and communication abilities; ability to work under pressure
and meet tight deadlines.
